By accepting work from Words of Worth Media, you are implicitly accepting the below terms and conditions of this Agreement. Please read carefully.

Definitions

“the Company” “we” or “us” refers to Words of Worth

“project” “articles” or “assignments” refers to pieces of writing, whether web page content, articles or any other piece of writing briefed to the writer

“confidential information” means the project information and any and all other information of a confidential nature disclosed by the Company, whether or not in material form and includes all notes and other material prepared by the recipient

Writing Guidelines

Article contracts vary from 10 articles up to 80 articles per monthly cycle. If a contract starts mid-month, you will be advised how the first contract’s articles are to be spread out and have the option to refuse the contract.  Other writing assignments will be detailed within the brief when offered to you.

General ideas for topics will be provided. Please familiarise yourself with the client’s website and existing content. Should you struggle with ideas for content, please get in touch as soon as possible for assistance as we will help with this.
All writing must be unique and not duplicated. You must write the content in your own words. If in doubt, please check using Copyscape.com.

Initially you may be asked to submit just one or two articles for approval, particularly in the case of new contracts. This will be made clear. If this is the case, you should not write ahead until advised.

We advise for your own peace of mind that you keep a copy of all writing assignments and dates added or sent.
Articles should be of the specified word length and must be run through a spellchecker before being added to the site.  Typical article length would be 250 – 500 words.

Please ensure you do not mention competitors or competitors products unless otherwise directed in the project’s brief.

Intellectual Property Rights

You acknowledge and agree that all intellectual property rights in the work supplied by you directly or indirectly including without limitation all copyright, database rights, trade marks, registered designs, patents and design rights in all drawings, reports and any inventions or related patents shall be disclosed immediately to us and shall belong to us and be our absolute property and you assign to us with full title guarantee and by way of present assignment of future rights (including the right to sue), all such trade marks, copyright, database rights, design rights (and any other intellectual property capable of assignment by way of present assignment of future rights) absolutely in any territory of the world for the full terms of those rights.

If and whenever required to do so by us you shall at our expense:

Apply or join with us in applying for letters patent or other protection or registration in the United Kingdom and in any other part of the world for any such invention, improvement, design, process, information, work or trademark as aforesaid;

Bring into effect or do all acts and execute all documents necessary for vesting all intellectual property rights (including such patent or other protection or registration when so obtained) and all rights, title and interest to and in them absolutely with full title guarantee and as sole beneficial owner, in us.

You shall not use our intellectual property during the term of this Agreement other than for carrying out the agreed services. You agree that you have not been granted any rights to use our intellectual property following the termination of this Agreement and on termination shall cease to use any of our intellectual property forthwith.

You waive absolutely all rights to be identified as the author of any work created by you directly or indirectly in relation to the provision of your services to us granted by sections 77-79 of the Copyright, Designs and Patents Act 1988 and your right to object to derogatory treatment thereof granted by section 80 of that Act and, so far as legally possible, any broadly equivalent rights they may have in any territory of the world.

Please note that by submitting a sample article you are giving up copyright and any intellectual property rights to that article. If your article is of an acceptable standard, we will add you to the writers waiting list and will contact you when a potentially suitable assignment is anticipated to become or is available. We will not make use of your sample article, however, should we discover a copy of it elsewhere on the Internet we will assume it has been duplicated or plagiarised and may discard your application accordingly.

Any contact details supplied within your application will not be passed on to third parties, nor will they be used for any purpose other than that described within this document.

Scheduling

Scheduling of articles must be spread evenly throughout the month and for that reason you can be ahead of schedule but never behind. For example, 10 articles published on one day would be unacceptable. Articles can in many cases be pre-written ahead of time and we encourage you to do so wherever this is possible.

With each writing assignment, you will be advised in advance of the deadline and the rate payable.  We expect the assignment pieces to arrive evenly spread out over the period from acceptance of brief to the deadline unless otherwise agreed.  You may write ahead but must never fall behind schedule.

Absence/Illness

We recommend you ensure you always work to be ahead of schedule so that you have a breathing space in case of illness.

If, however, due to unavoidable circumstances you are unable to complete your assignment(s) as required, please notify us immediately to discuss options.

If you will be on holiday and do not wish/are unable to complete a brief or regular contract, please notify us as early as possible so we can arrange for cover. Cover will usually be arranged for the entire monthly cycle, except by special agreement.

Confidentiality

You agree:

to use the Confidential information solely to allow you to consider and evaluate your potential involvment in the Project;

to keep all Confidential information confidential and not directly or indirectly use, disclose or attempt to use or disclose any of it to any person;

to keep the Confidential information and all information generated by the Recipient based thereon, separate from all documents and other information of the Recipient;

to establish and keep adequate security measures to protect the Confidential information from unauthorised access or use;

not to use, reproduce, transfer or store any of the Confidential Information on an externally accessible computer;

to immediately notify the Company of any suspects or actual unauthorised use, copying or disclosure of any Confidential information;

You may not disclose the Confidential information to any other party without the prior written consent of the Company to disclose to that person

You acknowledge that you are aware that any breach of this Agreement will result in the Company suffering loss and damage;

In the event of any breach by the Recipient of this Agreement, the Recipient shall indemnify the Company against all losses, expenses and damages and legal costs (on a solicitor and own client basis) that the Company may sustain or incur as a direct or indirect result of that breach

Termination

Should you wish to terminate the contract, you must supply one month’s notice. If you fail to do so, Words of Worth reserves the right to withhold payment or part-payment.

If your work is unacceptable and cannot be rectified, Words of Worth reserves the right to terminate the contract with immediate effect.

Payment is not made for a partly-completed contract.

Payment

Payment can reach hundreds of pounds sterling per month.  Assignments of this size are not normally offered to new writers until they are proven. Occasionally, we may have other writing work available and payment for any such work will be quoted at the time of request.

Payment is calculated at the end of the calendar month and upon satisfactory completion of timely articles. Should you fail to complete the requested articles within the agreed timescale, payment will be withheld and the contract may be terminated.

Payment is not made for a partly-completed contract.

For UK writers, payment is made via Bank Transfer. Changes to Bank details must be notified in writing by the 20th of the month.

For non-UK writers, payment is made via TransferWise and any fees are deducted by TransferWise at the recipient’s end. Changes to your payment details must be notified in writing by the 20th of the month.

The payment will arrive in your account approximately the 30th of the following month (i.e. any assignments with a deadline in March would be paid by 30th April).

IMPORTANT

Fees are paid to writers on a sub-contract / casual worker basis.
The payments made to you may be subject to Tax and National Insurance depending on personal circumstances and the area in which you live, for which you will be responsible for.
It is your responsibility to contact Inland Revenue, or the appropriate tax authorities, and arrange payment as necessary.
